Important classification note The parties intend this to be an independent-contractor arrangement. However, contractual labels do not override applicable law or the actual working relationship. BBBRING should obtain Philippine employment, transport, tax and data-privacy advice before deploying this agreement.
This Freelance Service Provider Agreement (Agreement) is between BBBRING BBBring, a [Philippine corporation / other legal form] with principal office at [address] (BBBRING, we, us), and the person or entity identified in Schedule 1 (Service Provider, you, your). You accept this Agreement by signing it, electronically accepting it in the BBBRING application or portal, or performing Services after it has been made available to you. The Agreement includes the schedules, the BBBRING Terms and Conditions, Privacy Policy, Safety Standards, Community Guidelines and other policies expressly incorporated by reference.
BBBRING grants you a limited, non-exclusive, non-transferable and revocable right to access the BBBRING platform to receive and, at your option, accept eligible service requests within your approved category. Services may include passenger transport, food delivery, parcel delivery, merchant order collection, or other services specifically enabled on your profile. You are not guaranteed any minimum number of service requests, earnings, working hours or continued access to the platform. You may accept or decline requests, subject to lawful platform rules designed to protect safety, service integrity, fraud prevention and customer experience.
The parties intend that you perform the Services as an independent contractor and not as an employee, agent, partner, joint venturer or representative of BBBRING, except to the limited extent expressly authorised in writing for a particular task.

You must maintain at all times all qualifications reasonably required for your approved service category, including a valid government-issued ID, licences, registrations, insurance, vehicle documents, tax registrations, certifications, police or background checks where lawfully required, and any other documents listed in Schedule 1 or requested through the platform. You must promptly notify BBBRING if any document expires, is suspended, becomes inaccurate, or if you are involved in an event that may reasonably affect your eligibility or safe performance. BBBRING may verify documents and suspend access while verification, review or investigation is pending.

Where the platform offers SOS or emergency-assistance functions, you must use them responsibly and only where there is a genuine or reasonably perceived safety concern. You must prioritise immediate safety, contact emergency services where appropriate, cooperate with lawful investigations, and provide accurate incident information. The SOS feature is a support tool and does not replace emergency services, insurance or your own safety obligations.
For food, merchant and delivery orders, you must follow the order details displayed in the platform. If an item is unavailable, a price changes, a substitution is suggested, or an out-ofpocket purchase is required, you must use the platform’s order-adjustment process where available and obtain the customer’s recorded approval before incurring an additional charge, unless immediate action is necessary to protect safety or prevent material loss and BBBRING has expressly authorised the action.
You must keep accurate receipts or proof of purchase for any authorised out-of-pocket purchase and upload them promptly through the platform. BBBRING may reject reimbursement where approval, receipts or other required evidence is missing, inaccurate, falsified or inconsistent with the service record.
BBBRING’s commercial model is subscription-based. Unless a written Commercial Schedule or in-app disclosure states otherwise, BBBRING does not charge the Service Provider a percentage commission on completed customer transactions. Subscription, access, paymentprocessing, promotional, adjustment or other permitted charges must be shown in the applicable plan, fare screen, settlement statement or policy before they apply. You authorise BBBRING to calculate, collect, hold, remit, reverse or adjust payments connected with Services completed through the platform, including customer payments, service fees, subscription charges, refunds, chargebacks, incentives, taxes required to be withheld by law, and amounts payable under this Agreement. BBBRING will provide a settlement record through the platform or another agreed channel. You must promptly report any material settlement discrepancy and provide supporting information. BBBRING may correct clearly erroneous, fraudulent, duplicate or unauthorised transactions after reasonable review and may offset an amount lawfully owed by you against future settlements where permitted by law and disclosed in writing.
Except where law requires BBBRING to withhold or remit an amount, you are responsible for your own income tax, VAT or other tax obligations, registrations, contributions, permits, insurance premiums, fuel, maintenance, equipment, phone and data costs, and other operating expenses. You must maintain insurance required by law and any additional reasonable coverage stated in Schedule 1 for your service category.
You may access only the personal data reasonably needed to perform an accepted Service. You must use it solely for that purpose, keep it confidential, prevent unauthorised access or disclosure, and delete or securely dispose of it when it is no longer needed, subject to legal retention requirements. You must not retain, copy, sell, market to, contact or profile customers, merchants or recipients outside the authorised Service without a lawful basis and BBBRING’s written approval. You must immediately notify BBBRING through [incident channel] if you suspect a loss, unauthorised access, disclosure, misuse or breach involving personal data, platform credentials or confidential information.
BBBRING retains all rights in its platform, software, logos, trade names, content, operational materials, pricing tools, customer relationships and data. BBBRING grants you a limited right to use approved branding and platform materials solely while performing authorised Services. You
must not copy, modify, reverse engineer, scrape, frame, resell, license or misuse the platform or BBBRING intellectual property.

BBBRING may receive and investigate complaints, safety reports, chargebacks, fraud alerts, merchant reports, regulator requests and other incidents. You must cooperate in good faith, provide accurate information and preserve relevant records. BBBRING may take proportionate protective action, including temporary suspension, payment hold, limitation of features, corrective training, warning, termination or referral to relevant authorities where lawful and appropriate.
To the extent permitted by law, you will be responsible for losses, claims, fines, penalties, damages, injury, death, property loss, data misuse, tax liability, or reasonable costs arising from your breach of this Agreement, unlawful conduct, negligence, wilful misconduct, fraud, unauthorised use of the platform, or your performance of Services. You will indemnify BBBRING and its directors, officers, employees and affiliates against third-party claims arising from those matters, subject to applicable law. Nothing in this Agreement excludes liability that cannot lawfully be excluded. BBBRING is not responsible for indirect or consequential loss arising from your use of the platform, lost profits, loss of opportunity or service interruptions, except to the extent liability is imposed by applicable law.
Either party may end this Agreement on written notice, subject to completion of accepted Services, outstanding safety matters and payment reconciliation. BBBRING may suspend or terminate immediate access where reasonably necessary for safety, fraud prevention, legal compliance, document expiry, material breach, data protection, serious customer complaint, misuse of the platform or risk to BBBRING, customers, merchants or the public. Upon termination, you must stop using BBBRING branding, return or delete confidential materials and personal data as directed, and settle valid outstanding amounts. Clauses
intended to survive, including confidentiality, data protection, settlement, indemnity, audit and dispute clauses, will survive termination.
This Agreement is governed by the laws of the Republic of the Philippines. The parties will first attempt in good faith to resolve disputes through BBBRING’s internal support process. Subject to applicable law and the rights of any person to use mandatory regulatory, consumer, labour, administrative or court remedies, disputes not resolved internally will be submitted to the courts of [City], Philippines, unless the parties agree in writing to a lawful alternative dispute-resolution process.
