IMPORTANT NOTICE
These Terms contain provisions on payment, cancellation, safety, platform suspension, liability and dispute handling. Please read them before using BBBRING. Consumer rights that cannot lawfully be excluded or limited remain protected.

1. Acceptance and Scope
These Platform Terms & Conditions (Terms) form a legally binding agreement between you and BBBRING BBBring, including its affiliates, authorised representatives and successors (BBBRING, we, us or our). They apply when you create or use a BBBRING account, browse the Platform, request or accept a service, place or fulfil an order, subscribe to a p lan, communicate through the Platform, or otherwise use any BBBRING feature. By tapping “I agree”, creating an account, placing a request or continuing to use the Platform, you confirm that you have rea d, understood and agreed to these Terms, the Privacy Policy and any service -specific conditions shown before confirmation. If you do not agree, do not use the Platform. These Terms are written for a Philippines -focused launch. BBBRING may make services available in other locations only where it elects to do so and subject to the local terms, disclosures and regulatory requirements presented in the relevant service flow.
2. Definitions
Defined term Meaning Account Your registered BBBRING profile and the credentials, verification details and activity associated with it. App / Platform The BBBRING mobile application, website, tools, communications channels, payment interfaces, safety features and associated technology. Booking Screen The in -app screen that presents the material details of a requested ride, delivery or order, including the service, price estimate or price, applicable fees, provider details and cancellation information. Customer A person or entity that requests a ride, delivery, food order, merchant order or related service through the Platform. Driver Partner / Delivery Partner An independent individual, fleet operator or other approved service provider that accepts or performs a transportation, delivery or related service through the Platform. Merchant A restaurant, retailer, supplier or other seller that lists, prepares, sells or fulfils goods or services through the Platform. Order A request for goods, food, delivery, ride or other service submitted through the Platform. Subscription A recurring or fixed -term access plan available to eligible users, partners or merchants under the applicable Plan Details.
3. Eligibility, Accounts and Verification
You must provide complete, current and accurate information when registering or using your Account. You must promptly update information that changes, including your contact details, payment method, delivery address, vehicle details, licences or busi ness information, as applicable. You must be at least eighteen (18) years old to create an Account unless a specific feature expressly allows a younger user t o participate through a parent, guardian or authorised account holder. You must have legal capacity to enter into these Terms.
- You are responsible for safeguarding your password, one -time passwords, device access and any account -recovery
credentials.
- You must not create or operate an Account using a false identity, misleading contact details, another person’s
information without authority, or a payment method that you are not authorised to use.
- BBBRING may request identity, contact, vehicle, licence, business, tax, safety or other verification information before
allowing access to selected features.
- BBBRING may reject, limit, suspend or close an Account where verification cannot be completed, risk or safety concerns
arise, or use breaches these Terms or applicable law.
4. BBBRING’s Role and Service Providers
BBBRING provides a technology platform that helps Users, Merchants and approved Service Providers discover, request, coordinate, pay for and support rides, deliveries, food orders and merchant orders. Depending on the service, locality, appli cable
law and Booking Screen, BBBRING may act as a technology provider, marketplace operator, payment facilitator, merchant intermediary, contracted service provider or another disclosed role. Unless the Booking Screen or a separate agreement clearly states otherwise, rides are performed by Driver Partners, deliverie s are performed by Delivery Partners and goods or food are supplied and prepared by Merchants. The Booking Screen identifies the relevant provider and the service details made available to you. Nothing in these Terms prevents BBBRING from imposing service quality, safety, customer support, payment, insurance, operational or regulatory requirements on any Service Provider using the Platform.
5. Rides, Deliveries and Merchant Orders
5.1 Booking and Confirmation
A request made through the Platform is not accepted until the Platform confirms acceptance by a Service Provider or Merchant, or otherwise confirms the booking. Availability, arrival times, delivery times, route estimates, inventory and price estimates m ay change due to demand, traffic, weather, distance, service areas, operating hours, supplier availability or other circumstances.
5.2 Ride Requests
For ride services, you must provide accurate pick -up and drop -off details, comply with reasonable safety instructions, wear seatbelts where fitted and required, and behave respectfully. You must not request a ride that exceeds the vehicle’s lawful passenger capacity or requires a service that was not disclosed at the time of booking.
5.3 Deliveries and Parcels
For deliveries and parcels, you are responsible for accurate collection and delivery details, lawful packaging, appropriate l abelling and safe handover. You must not send illegal, dangerous, perishable, fragile, restricted, improperly packed or prohibited ite ms unless BBBRING expressly permits the item and the applicable Service Provider accepts it under published requirements.
5.4 Food and Merchant Orders
Merchant listings, menus, photos, product descriptions, availability, preparation times, allergens, ingredients and retail st ock information may be supplied by Merchants. You must review your Order carefully before submission and disclose relevant instructions or allergies directly through the available order flow. BBBRING cannot guarantee that any product is allergen -free, in stock, identical to an image, or suitable for your personal dietary or medical needs.
6. Subscription Access and Fees
Certain features may be available through a Subscription. Plan Details, including the fee, billing frequency, duration, renew al date, included features, exclusions, pause or cancellation method and any applicable taxes, will be shown before you subscribe. Subscription access fees are platform -access charges and do not guarantee ride availability, delivery availability, Merchant sales, customer demand, earnings, priority dispatch, service outcomes or any minimum level of activity unless a Plan Detail expressl y states otherwise. Unless the Plan Details state otherwise, a Subscription automatically renews at the end of each billing period until you canc el through the method shown in the App. Cancellation normally takes effect at the end of the then -current paid period and does not automatically refund unused access. Your statutory rights and the Refund, Cancellation & Order -Adjustment Policy continue to apply.
7. Prices, Payments, Taxes and Promotions
Before confirmation, BBBRING will present the price, price estimate or pricing basis for the requested service, together with material fees where reasonably practicable. Final pricing may change where the Booking Screen permits changes caused by route variation, waiting time, tolls, surcharges, merchant -approved order adjustments, additional delivery distance, applicable taxes, or another clearly disclosed factor. You authorise BBBRING and its payment service providers to charge your selected payment method for the applicable fares, delivery charges, product prices, taxes, tips, cancellation charges, Subscription fees, adjustments and other disclosed charg es. You must maintain a valid payment method and promptly resolve declined, reversed or disputed payments. Promotions, vouchers, credits and discounts are subject to their published conditions. They may be time -limited, restricted to eligible users or services, non-transferable, non-redeemable for cash and withdrawn or corrected where used fraudulently, in error, or contrary to their conditions.
8. Order Adjustments, Substitutions and Cancellations
A Merchant may notify BBBRING or you that an item is unavailable, substituted, repriced, modified or requires an additional o ut-ofpocket cost. Where the Platform supports it, BBBRING will seek your confirmation before applying a material adjustment. You m ay accept, reject, replace or cancel the affected item or Order, subject to the timing and preparation status shown in the App. Cancellations, refunds, credits and disputes are governed by the Refund, Cancellation & Order -Adjustment Policy. That policy forms part of these Terms. BBBRING may charge a disclosed cancellation fee when a request is cancelled after a Service Provid er or Merchant has accepted it, subject to applicable law and the circumstances of the cancellation. You must promptly report a missing item, incorrect item, damaged parcel, service issue, unauthorised charge or order problem through the support channel stated in the App. BBBRING may request photos, receipts, messages, delivery evidence, call record s or other relevant information to review a claim.
9. Safety, SOS and Emergency Assistance
The Platform may include safety tools such as SOS, emergency contact sharing, trip information sharing, location sharing, sup port escalation or in -app reporting. These tools are intended to assist you but do not replace emergency services, personal safety precautions, medical care, law-enforcement assistance or professional emergency response. If there is an immediate threat to life, safety or property, contact the appropriate emergency services first. Do not rely so lely on the BBBRING SOS feature. BBBRING does not guarantee emergency dispatch, response times, rescue, medical assistance, police attendance or uninterrupted availability of safety tools. Where you use a safety feature, you authorise BBBRING to process and share relevant information, such as your Account information, contact information, trip or order data, approximate location, messages and related incident details, to the ext ent reasonably necessary for the feature and as described in the Privacy Policy or required by law.
10. User Conduct and Prohibited Use
You must use the Platform lawfully, safely and respectfully. You must not:
- use the Platform to arrange unlawful activity, fraud, harassment, discrimination, threats, stalking, abuse, exploitation or
violence;
- carry, send, order, solicit or facilitate prohibited goods, illegal drugs, weapons, explosives, stolen property, hazardous
materials, counterfeit goods, or any item that may not lawfully be transported, delivered or sold;
- interfere with a Service Provider’s ability to drive or deliver safely, damage any vehicle or property, smoke or vape where
prohibited, or behave in a way that creates an unreasonable safety or hygiene risk;
- scrape, reverse engineer, circumvent access controls, introduce malware, manipulate prices, create fake Orders, abuse
promotions, interfere with ratings, or misuse the Platform or its systems;
- use the Platform to collect personal data from another person except as reasonably necessary for an accepted Order or
as authorised by BBBRING; or
- ask a Service Provider to perform a service that is unlawful, unsafe, outside the booked service, or not permitted by the
applicable Booking Screen or policy.
11. Partner and Merchant Conditions
11.1 General
Driver Partners, Delivery Partners, Fleet Partners and Merchants must meet BBBRING’s onboarding, verification, quality, safet y, insurance, tax, legal and operational requirements. A Partner or Merchant may also be required to sign a separate written agreement. If that agreement conflicts with these Terms, the separate agreement controls for that Partner or Merchant to the extent of the conflict.
11.2 Drivers and Delivery Partners
Driver Partners and Delivery Partners must maintain all qualifications, permits, licences, registrations, vehicle documentati on, insurance, equipment, safety practices and legal approvals required for their services. They must not accept or perform a req uest while impaired, distracted, unauthorised, uninsured or otherwise unable to perform it safely and lawfully.
11.3 Merchants
Merchants are responsible for lawful product listings, accurate price and availability information, food safety, product qual ity, required permits, labelling, packaging, taxes, fulfilment and customer -facing disclosures for goods or services they supply. Merchants must promptly report out-of-stock items, material changes and fulfilment issues through the Platform.
11.4 Independent Status
Except where a written agreement or applicable law provides otherwise, Partners and Merchants use the Platform as independent businesses or service providers. Nothing in these Terms alone creates an employment, agency, partnership, joint venture or franchise relationship between BBBRING and a Partner, Merchant or Customer.
12. Ratings, Reviews and User Content
You may be able to provide ratings, reviews, feedback, photos, messages or other content. You are responsible for ensuring th at your content is truthful, lawful, respectful, non -defamatory, non -infringing and does not disclose another person’s personal data without a lawful basis or their authority. By submitting User Content, you grant BBBRING a non -exclusive, worldwide, royalty-free, transferable and sublicensable licence to host, reproduce, display, adapt and use the content for operating, improving, promoting, securing and supporting the Platform , subject to applicable law and the Privacy Policy. BBBRING may remove or restrict content that it reasonably believes breaches these Terms, law or the rights or safety of others.
13. Data Privacy and Electronic Communications
BBBRING processes personal data in accordance with its Privacy Policy and applicable data -protection law. The Privacy Policy explains the categories of personal data processed, purposes, legal bases where applicable, sharing, retention, security meas ures and your available rights. You agree that BBBRING may provide notices, receipts, Booking Screens, account information, policy updates, service messages, verification prompts and other communications electronically through the App, email, SMS, push notification, website or anoth er verified channel. You are responsible for keeping your contact details current. Where you are a Merchant or Partner and receive personal data through the Platform, you may use it only for the accepted Orde r or service and any other purpose expressly authorised by BBBRING or required by law. You must protect it from unauthorised acces s, use or disclosure.
14. Intellectual Property and App Licence
BBBRING and its licensors own the Platform, software, branding, trade names, logos, interfaces, content, designs, databases, workflows and related intellectual property. Subject to these Terms, BBBRING grants you a limited, revocable, non -exclusive, nontransferable and non-sublicensable licence to access and use the Platform for its intended purposes. You must not copy, sell, lease, distribute, modify, create derivative works from, decompile, reverse engineer, remove proprie tary notices from, or exploit the Platform or BBBRING intellectual property except where mandatory law expressly permits it.
15. Availability, Third Parties and Changes to Services
The Platform may be unavailable, delayed, restricted or changed due to maintenance, demand, connectivity, weather, traffic, supplier availability, system issues, security incidents, government actions, force majeure or other operational reasons. BBB RING may modify, pause, discontinue or introduce features, service areas, pricing tools, payment methods or requirements where reasonably necessary, subject to applicable law. The Platform may contain third -party services, payment processors, maps, communications tools or links. BBBRING does not control and is not responsible for third -party platforms, policies, availability or acts, except to the extent BBBRING has a legal responsibility that cannot be excluded.
16. Suspension and Termination
You may stop using the Platform at any time. You may request Account closure through the App or the support channel, subject to retention requirements, active Orders, unresolved payments, fraud prevention, legal obligations and rights required to resolv e disputes. BBBRING may suspend, limit or terminate your access where it reasonably believes that you breached these Terms; created a safety, security, fraud, payment, legal or reputational risk; supplied false or incomplete information; misused a safety feat ure; or where suspension is required by law, a regulator, a payment provider or a legitimate operational requirement.
Suspension or termination does not remove obligations that accrued before the relevant date, including payment obligations, confidentiality and data -protection obligations, dispute handling, rights to investigate suspected misuse and clauses intended to survive termination.
17. Disclaimers, Liability and Indemnity
17.1 Service Disclaimers
To the extent allowed by law, the Platform and services are provided on an “as available” basis. BBBRING does not guarantee uninterrupted access, any particular route, arrival time, delivery time, availability, earning level, product availability, q uality outcome, or that the Platform will be error -free or secure at all times. This does not limit any consumer guarantee, statutory right or other protection that cannot legally be excluded.
17.2 Limitation of Liability
To the maximum extent permitted by applicable law, BBBRING will not be liable for indirect, incidental, special, consequentia l or punitive losses, or loss of profit, revenue, data, business opportunity or goodwill arising out of or connected with the Plat form or a service. Nothing in these Terms excludes or limits liability where exclusion is not permitted by law, including liability for fraud, wilful misconduct, death or personal injury caused by negligence where applicable, or non-excludable consumer rights.
17.3 Indemnity
To the extent allowed by law, you will indemnify and hold BBBRING, its officers, employees, affiliates and service providers harmless from third -party claims, losses, damages, liabilities and reasonable costs arising from your unlawful conduct, breach of these Terms, infringement of another person’s rights, misuse of the Platform, or goods or content you supply, send, order or cause to be delivered. This does not apply to the extent a claim is caused by BBBRING’s own breach, negligence or misconduct.
18. Complaints and Dispute Resolution
For booking issues, payment concerns, safety incidents, data requests, refund requests or complaints, contact BBBRING through [insert support channel], [insert support email] or the in -app Help Centre. Please include the booking or order reference, date, relevant details and any supporting evidence. Before commencing formal proceedings, the parties will use reasonable efforts to resolve the issue in good faith through the BBBRING support process. Nothing prevents a User from raising a concern with a relevant government authority, exercising a statutory consumer right, or seeking urgent court relief where legally available.
19. Governing Law and General Terms
These Terms are governed by the laws of the Republic of the Philippines, unless mandatory law in your location requires another law to apply. Courts of competent jurisdiction in [insert city], Philippines will have jurisdiction over disputes, subject to app licable law and any mandatory rights you may have. If a provision of these Terms is found invalid or unenforceable, the remaining provisions will continue to apply. BBBRING’s f ailure to enforce a provision is not a waiver. You may not assign or transfer your rights or obligations under these Terms without BBBR ING’s prior written consent. BBBRING may assign these Terms as part of a merger, restructuring, sale of assets or transfer of the P latform, subject to applicable law. BBBRING may update these Terms from time to time. For material changes, BBBRING will provide reasonable advance notice through the App, email, website or another electronic channel, unless a shorter period is required for security, legal, fraud - prevention or urgent operational reasons. Continued use after the effective date of the updated Terms means you accept them, where permitted by law.
